Provarity, Inc. Terms and Conditions

These Terms and Conditions & Conditions (“Terms and Conditions”) govern your access to and use of the Provarity application (the “App”) developed and operated by Provarity, Inc. (“Provarity,” “Provarity AI,””we,” “us,” or “our”). By using the Provarity app, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not access or use the app.
- License to Use
Provarity grants you a non-exclusive, non-transferable, revocable license to use the app for your business use, as permitted by these Terms and Conditions. You may not:
- Sublicense, rent, lease, or otherwise distribute the app.
- Modify, decompile, disassemble, or reverse engineer the app.
- Use the app for any illegal or unauthorized purpose.
- Interfere with or disrupt the app or the servers or networks that support them.
- User Content
The app may allow you to submit content (“User Content”). You retain all ownership rights to your User Content. However, by submitting User Content, you grant Provarity a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute your User Content in connection with the app. You are solely responsible for your User Content and represent that you have the necessary rights to grant us the license described above.
- Third-Party Services
The app may integrate with or link to third-party services. Your use of such services is governed by the Terms and Conditions of service and privacy policies of those third parties. Provarity is not responsible for the content or practices of any third-party services.
- Disclaimers
The app is provided “as is” and without warranties of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Provarity does not warrant that the app will be uninterrupted, secure, or error-free. Provarity does not warrant that the results that may be obtained from the use of the app will be accurate or reliable.
- Limitation of Liability
In no event shall Provarity, its affiliates, officers, directors, employees, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or exemplary damages (including, but not limited to, damages for loss of profits, data, or goodwill) arising out of or relating to the use or inability to use the app, even if Provarity has been advised of the possibility of such damages.
- Termination
We may terminate your access to the app at any time, for any reason, or for no reason. We may also discontinue providing the app altogether.
- Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
- Entire Agreement
These Terms and Conditions constitute the entire agreement between you and Provarity regarding the use of the app.
- Changes to these Terms and Conditions
We may update these Terms and Conditions from time to time. We will post any changes on our website. We encourage you to review these Terms and Conditions periodically to stay informed of any updates.
